Cuscal Board Charter & Board Committees

Board Charter
The Cuscal Board Charter governs the roles and responsibilities of the Board.

Cuscal’s approach to corporate governance is explained in more detail in the Corporate Governance Statement as set out in our Annual Report.

Directors are required to comply with a Code of Conduct. In addition, each Director is assessed annually as to his or her fitness and propriety.

Committees

The following standing Committees are in place:

  • Board Audit
  • Board Governance & Remuneration
  • Board Risk

The roles of each Committee, together with the Charters that set out their duties and responsibilities, are subject to approval by the Board.

Board Audit Committee
The Board Audit Committee’s major roles are to facilitate communication between the Board, Management, External Audit and Internal Audit; to oversee the audit process and the adequacy of financial reporting systems; and to determine the effectiveness of financial decision making and internal controls.

The External Auditor, Internal Auditor, Managing Director and Chief Financial Officer are invitees to all Committee meetings. The Committee also meets with the External Auditor and the Internal Auditor in the absence of Management.

The current members of this Committee are:

  • Trudy Vonhoff (Chairman)
  • Steve Laidlaw
  • Sonia Petering

The Committee’s duties and responsibilities are set down in the Board Audit Committee Charter.

Board Governance & Remuneration Committee
The Board Governance & Remuneration Committee’s primary objective is to assist the Board in promoting and implementing improved governance practices within Cuscal. The Committee also has responsibility for remuneration matters, as required under APRA’s Prudential Standard APS 510, Governance.

The current members of this Committee are:

  • Elizabeth Proust AO (Chairman)
  • Steve Laidlaw
  • Sonia Petering

The Committee’s duties and responsibilities are set down in the Board Governance & Remuneration Committee Charter.

Board Risk Committee
The role of the Board Risk Committee is to assist the Cuscal Board in fulfilling its responsibilities with regard to risk and compliance, balance sheet and capital risk management, credit policies and treasury.

The current members of this Committee are:

  • Sonia Petering (Chairman)
  • Wayne Stevenson
  • Trudy Vonhoff
